The Cameron Network Terms of Use

Use of The Cameron Network Website (www.sherylcameron.com) (“the Site”) is subject to the terms and conditions set forth below. By accessing and using any portion of, or subscribing to any service offered through www.sherylcameron.com, you agree and accept the terms and conditions described below. These terms and conditions represent a binding contract between Sheryl Cameron Fashion Consulting, LLC [SCFC] and you. These terms and conditions are in addition to any other agreements between SCFC and you. If you do not agree with any of these terms and conditions, please do not continue using www.sherylcameron.com. If you are a registered User, you will be asked to click the User Agreement acceptance "button." The terms "you" or "User" refer to the person who completed the registration process or any visitor to the Site.

1. Changes to Terms. SCFC reserves the right to change the terms of this User Agreement. Changes will be posted on the Site at http://www.sherylcameron.com/terms-and-conditions , and shall be effective immediately upon posting. If any of these changes are unacceptable, you may terminate your subscription as described below under "Term and Termination." Use of the Site following the posting of any changes to these terms and conditions constitutes acceptance of those changes by the User.
   
   
2. Definitions. The Site contains two types of content:

1. SCFC Content" means information posted at the Site by employees and authorized representatives of SCFC.
2. “Other Content" means any other information entered into www.sherylcameron.com by Users or other persons.

3. Membership Duration and Renewal. Unless otherwise stated in a promotion, The Cameron Network is a one-year membership commitment, commencing from the month and date you sign up for the membership to the same month and date of the following year. SCFC will send you a reminder preceding the expiration of your one- year membership informing you of your ability to cancel. If you do not cancel within the specified time, your membership will automatically renew for another one-year period.
   
   
4. Use of Site. SCFC hereby grants you a non-exclusive, non-transferable license to access and use the Site for the fees (if any) and under the terms described in this Agreement. The content of the pages of this website is for your general information and use only and is subject to change without notice. You agree that your use of the Site is solely for personal, non-commercial purposes. If accessing content that requires registration, only one person at a time may access the Site using the User's screen name and password without the prior consent of SCFC.  The information and content contained on this website or sent to you through subscription to this website will not be transferred, shared, or assigned in any way to any other person, site or entity. Such transferring or sharing of information is a breach of the terms of this Agreement and will result in immediate termination of your membership subscription. Upon termination you will receive no full or partial refund and any remaining balance on membership fees for your annual subscription will be payable in full and charged to your credit card on file. User may, free of charge and on an occasional basis, make a single copy in paper form of an individual SCFC article appearing on the Site for personal, non-commercial use, provided the User includes all copyright and other proprietary rights notices that appeared on the original and includes a notice indicating that the Site is the source of the material and does not distribute, show, or otherwise distribute the article or paper outside User’s business or personal use. For all other hard copy uses please contact the Permission Department or email: info@sherylcameron.com for information or instructions. Fees are determined by the extent of use. In addition to any other restrictions on use contained in this Agreement, the User may not disseminate any portion of materials contained on the Site through electronic means, including mail lists, electronic bulletin boards, or on any social media sites without the prior written consent of SCFC.
   
   
5. Ownership of Materials on the Site. The Site contains material which is owned by or licensed to SCFC. This material includes, but is not limited to, the design, layout, look, trademarks, copyrights, appearance and graphics. Reproduction is prohibited other than in accordance with the copyright notice, which forms part of these terms and conditions. All trademarks reproduced in this website which are not the property of, or licensed to, the operator are acknowledged on the website.
   
   
6. No Reproductions, Transmissions, or Distributions of Material. Except as expressly permitted in this Agreement, the Site and any information or content displayed on or through the Site may not be reproduced, transmitted, or distributed without SCFC’s permission. User may not commingle any portion of the Site or its content or email updates with any other information and shall not edit, modify, or alter any portion. All of SCFC’s Own Content is either the property of SCFC, its subsidiaries, and its affiliates or is licensed to SCFC. User shall honor all reasonable requests by SCFC to protect SCFC’s proprietary interests in the Site. A violation of this provision may be actionable copyright or trademark infringement.
   
   
7. Additional Prohibitions. In addition, User may not:

1. use the Site for any purpose that is prohibited by any law or regulation, or to facilitate the violation of any law or regulation;
2. use or attempt to use any "scraper," "robot," "bot," "spider," "data mining," "computer code" or any other automated device, program, tool, algorithm, process or methodology to access, acquire, copy, or monitor any portion of the Site, any data or content found on or accessed through the Site, or any other SCFC information without prior express written consent of SCFC;
3. obtain or attempt to obtain through any means any materials or information on the Site that has not been intentionally made publicly available either by public display on the Site or through accessibility by a visible link on the Site;
4. violate any measure employed to limit or prevent access to the Site or its content;
5. violate the security of the Site or attempt to gain unauthorized access to the Site, data, materials, information, computer systems or networks connected to any server associated with the Site, through hacking, password mining or any other means;
6. impersonate any person or entity, or falsely state or otherwise represent an affiliation with a person or entity;
7. create a link to the Site from another website or document without SCFC’s prior written consent;
8. interfere with, attempt to interfere with or otherwise disrupt the proper working of the Site, any activities conducted on or through the Site or any servers or networks connected to the Site, including accessing any data, content or other information prior to the time that it is intended to be available to the public on the Site;
9. take or attempt any action that, in the sole discretion of the Site, imposes or may impose an unreasonable or disproportionately large load or burden on the Site or the infrastructure of the Site.
10. forge headers or otherwise manipulate identifiers in order to disguise the origin of any Other Content;
11. disobey any requirements, procedures, policies or regulations of networks connected to the Site; or
12. use the Site to stalk or harass another.

8. Use by SCFC of Other Content. User grants to SCFC the non-exclusive, worldwide, royalty-free, irrevocable, perpetual right to use, reproduce, copy, perform, display and create derivative works from all material entered into the Site by the User (other than third-party material transmitted through private electronic mail) in any of SCFC’s products and services.
   
   
9. User’s Responsibilities. Users entering material into the Site are responsible for the content of that material. SCFC has no responsibility for Other Content, including the content of any messages or information posted by Users or others, or for the content of information accessible via direct or indirect hyperlinks from the Site. However, SCFC retains the right, which it may or may not exercise in its sole discretion, to review, edit, or delete Other Content which SCFC deems to be illegal, offensive, in violation of these terms and conditions or otherwise inappropriate. Please be aware that if you disclose personal information on Web site messages or chat areas, that information may be collected and used by third parties without our knowledge and may result in unsolicited communications from third parties. Such activities are beyond the control of SCFC.
   
   
10. Limitations on Other Content. You may not input, distribute, upload, post, email, transmit or otherwise make available any Other Content through the Site that:

1. is promotional in nature, including solicitations for funds or business, without the prior written authorization of SCFC, or constitutes junk mail, spam, chain letters, pyramid schemes or the like;
2. is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically or otherwise objectionable;
3. you do not have the right to make available under any law or under contractual or fiduciary relationships (such as inside information, proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements);
4. infringes any patent, trademark, trade secret, copyright or other proprietary rights of any party;
5. contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware, or telecommunications equipment;
6. is harmful to minors; or
7. constitutes the personally identifiable information of any other person that such person has not authorized you to disclose.

11. Indemnification. User agrees to indemnify SCFC from all damages, liabilities, costs, charges and expenses, including reasonable attorneys' fees, which SCFC, its affiliates, employees, and authorized representatives may incur as a result of either: (i) User's breach of this Agreement; or (ii) material entered into the Site with the use of User's screen name or password. SCFC reserves the right to assume the exclusive defense and control of any such matter for which the User has agreed to indemnify SCFC in which event User shall have no further obligation to indemnify with respect to that particular matter.
    
    
12. NO WARRANTIES/LIMITATIONS ON LIABILITY

ALL THE INFORMATION CONTAINED ON THE SITE IS PROVIDED "AS IS" WITHOUT ANY WARRANTIES OR GUARANTEES OF ANY KIND. THE SITE MAY CONTAIN ADVICE, OPINIONS AND STATEMENTS OF VARIOUS INFORMATION AND CONTENT PROVIDERS. HOWEVER, THE SITE IS FOR INFORMATIONAL PURPOSES ONLY. RELIANCE ON SUCH INFORMATION IS AT YOUR OWN RISK.

NEITHER SHERYL CAMERON FASHION CONSULTING, LLC NOR ITS THIRD PARTY LICENSORS MAKES ANY GUARANTEES OR WARRANTIES AS TO THE TIMELINESS, ADEQUACY, ACCURACY OR COMPLETENESS OF OR RESULTS TO BE OBTAINED FROM, ACCESSING AND USING THE SITE, THE SITE'S OWN CONTENT, THE OTHER CONTENT, NOR ANY MATERIAL THAT CAN BE ACCESSED (VIA A DIRECT OR INDIRECT HYPERLINK OR OTHERWISE) THROUGH THE SITE. NEITHER SHERYL CAMERON FASHION CONSULTING, LLC  NOR ITS THIRD PARTY LICENSORS SHALL BE LIABLE TO THE USER OR ANYONE ELSE FOR ANY INACCURACY, DELAY, INTERRUPTION IN SERVICE, ERROR OR OMISSION, REGARDLESS OF CAUSE, OR FOR ANY DAMAGES RESULTING THEREFROM. IN NO EVENT WILL SHERYL CAMERON FASHION CONSULTING, LLC OR ANY OF ITS THIRD PARTY LICENSORS BE LIABLE FOR ANY INDIRECT, SPECIAL OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO, LOST TIME, LOST MONEY, LOST PROFITS OR GOOD WILL, WHETHER IN CONTRACT, TORT, STRICT LIABILITY OR OTHERWISE, AND WHETHER OR NOT SUCH DAMAGES ARE FORESEEN OR UNFORESEEN WITH RESPECT TO ANY USE OF THE SITE. USER AGREES THAT ALL DEMANDS OF WHATEVER KIND ASSESSED SHERYL CAMERON FASHION CONSULTING, LLC OR ANY OF ITS THIRD PARTY LICENSORS ARISING OUT OF RELATING TO USE OF THE SITE SHALL NOT EXCEED THE TOTAL AMOUNT THE USER PAID TO SHERYL CAMERON FASHION CONSULTING, LLC FOR USE OF THE SITE DURING THE PREVIOUS TWELVE (12) MONTHS (OR IF YOU HAVE SUBSCRIBED FOR FEWER THAN TWELVE (12) MONTHS, DURING THE TIME SINCE THE USER'S SUBSCRIPTION BEGAN).

13. Registration. As part of the registration process, User must select a screen name and password and provide SCFC with accurate, complete, and updated information. Failure to do so constitutes a breach of this Agreement, which may result in immediate termination of User's access.

15. Term and Termination. SCFC shall have the right to immediately terminate this Agreement in the event of any breach by a User of this Agreement. Upon termination of your membership subscription you will receive no full or partial refund and any remaining balance on membership fees for your annual subscription will be payable in full and charged to your credit card on file.  SCFC may discontinue or change the Site, or its availability to User, at any time and for any reason.
    
    
16. Fees & Payments. User agrees to pay all fees and charges (if any) incurred in connection with your User name and password, including applicable taxes and communications or access charges, at the rates in effect when the charges were incurred. SCFC may change rates in the normal course of business. In that case, User will be notified of the new rates (if any) prior to the end of your subscription term. All charges incurred in connection with your account will be billed to the credit card you designate during the registration process or one that you designate thereafter. Charges are made to your credit card the same date each month, commencing on the date you signed up for the membership and continuing each date of each following month until expiration or termination of your membership. We will maintain your credit card number in our records only for this purpose taking care, of course, to maintain the confidentiality of the information. User is responsible for keeping billing information up to date.
    
    
17. Unauthorized Access to Your Account. If you believe your User name and password have been used to access the Site without your authorization, please contact SCFC Customer Service at the email address listed below without delay.

18. General. This Agreement constitutes the entire agreement between the parties relating to the Site and supersedes any and all other agreements, oral or in writing, with respect to the Site. The failure of SCFC to insist upon strict compliance with any term of this Agreement shall not be construed as a waiver with regard to any subsequent failure to comply with such term or provision. You may not assign your rights or obligations to anyone. If any provision in this Agreement is invalid or unenforceable under applicable law, the remaining provisions will continue in full force and effect. This Agreement, your rights and obligations, and all actions contemplated by this Agreement shall be governed by the laws of the United States of America and California State, as if the Agreement was a contract wholly entered into and wholly performed within California State.
